This position is hybrid with a few days per week onsite in our Corporate Headquarters in Owings Mills, MD and a few remote days per week.
Legal - Contracts Administration
POSITION SUMMARY:
Under supervision, the Contract Specialist creates and manages agreements related to bonuses and retentions and oversee recoupment of amounts owed tosubsidiaries. Under supervision, provides contract management and corporate paralegal support to the Office of the General Counsel (“Office”) of LifeBridge, including but not limited to preparation and negotiation, with supervision, of contracts, due diligence involving acquisitions, database management of all contracts, responsibility of drafting basic organizational agreements, and filing and maintenance of all Federal, State, and local business registrations including corporate filings with Maryland SDAT.
Essential Functions:
Drafting Contracts: Using authorized formats, draft for review by Office attorneys, agreements (e.g., HIPAA BAA, employment agreements (including physician agreements), leases, service agreements, confidentiality agreements, consulting agreements, and various types of bonus and retention agreements.
Bonus Payments and Overpayment Recoupment: Through partnership with key stakeholders in Human Resources and Finance, manage the process of approving payment of applicable bonus amounts and recouping monies from employees and former employees who have outstanding financial obligations to and/or its affiliates, including but not limited to: approving bonuses to be paid by Payroll; tracking approved bonuses and related vesting periods; drafting demand letters for monies owed; managing LifeBridge’s relationship with third-party collection agencies; and internal reporting regarding payment and recoupment efforts.
Contract Database: Maintain contract database in document management system.
Corporate: In consultation with the Governance Coordinator of LifeBridge, support subsidiary and parent company corporate secretarial functions, including preparation of written consents. Draft and file organizational documents for entities.
Due Diligence: Manage due diligence data rooms for M&A activity, including establishing data rooms, collecting and uploading the majority of the requested due diligence, and serving as point person for uploading due diligence from other responsible parties.
Annual Filing: Perform annual filing on-line with all states and counties in which entities conduct business (Federal / State / local licenses, business registrations, updates, and renewals).
QUALIFICATIONS AND REQUIREMENTS:
Education/Knowledge: Basic professional knowledge; equivalent to a Bachelor’s degree; working knowledge of theory and practice with a specialized field.
Education Discipline: The theory and practice of contract management and of a corporate paralegal. Paralegal Certificate is preferred.
Experience: 5-7 years

IDEAL CANDIDATE
Must be assertive and have prior experience as a paralegal or contracts specialist in a corporate enviornment, preferraably healthcare.
This role will take ownership of our entire bonus recoupment process (bonus recoupment currently sitting with HR; moving over to Legal dept). Highly visible and high priority project for the organization.
Must have experience in healthcare contracts administration.
Strong writing and editing skills to draft or edit a variety of complex legal documents and agreements.
